7 <br /> • <br /> F. Through this Agreement, the parties intend only to study the feasibility of a <br /> Community Center cooperatively and collegially. Action in addition to the study will be <br /> taken, if at all,pursuant to an amendment to this Agreement or to a separate, subsequent <br /> agreement. <br /> 3. AGREEMENT <br /> A. Term <br /> This Agreement commences on the date of the last party to sign and expires May 1,2005 <br /> B. Project Team <br /> 1. Duties <br /> The Project Team shall manage and supervise the performance of this Agreement. The <br /> City shall contract with Ballard*King to study the feasibility of a Community Center, <br /> including financial, location, and programmatic issues. The City will transmit the Project <br /> Team's decisions and directions to Ballard*King. <br /> 2. Representatives <br /> Each party shall appoint at least one representative to the Project Team. If a party names <br /> more than one representative, the Party shall designate one representative as the Lead <br /> Representative, who shall cast his or her party's vote on the Project Team and shall be the <br /> party's representative to whom notices are given. All representatives may attend and <br /> participate in Project Team meetings,but only Lead Representatives may cast votes on <br /> behalf of their principals. A party may change representatives by giving notice to the <br /> other parties as provided elsewhere in this Agreement. The initial representatives are <br /> identified in Exhibit A,which provides titles,telephone numbers, fax numbers, and E- <br /> mail addresses for the representatives. This list may be updated or revised as necessary; <br /> any such update or revision shall not constitute a material change to this Agreement and <br /> shall not require authorization by each party's legislative or governing body. At all times <br /> during the Term of this Agreement, each party shall have at least one representative to the <br /> Project Team. <br /> 3. Decision-making <br /> The Project Team shall make decisions collegially and cooperatively. Formal decisions <br /> shall be made by majority vote, with each party having one vote to be cast by its Lead <br /> Representative to the Project Team. <br /> 4. Operation <br /> The Project Team shall determine the method of communications that will be used in <br /> conducting the business of the Project Team. The Project Team may invite other persons <br /> to participate in conferences, meetings, or other communications. Unless otherwise <br /> 2 26 <br />
