• <br /> no Member may withdraw from this Agreement while the Agreement remains in <br /> effect. <br /> g. The Program Year, for the Consortium and for all the HUD formula grant <br /> programs of both the City and the County, begins on July 1 of each year and ends on <br /> the following June 30. <br /> Section 4. Hold Harmless/Indemnification <br /> Each party agrees to indemnify, defend, and hold harmless the other party, its <br /> employees, agents, and appointed and elected officials from any and all claims, <br /> demands, damages, suits, penalties, judgments, losses or costs arising out of this <br /> Agreement which may be made against them to the extent that such claim is caused <br /> by that party's own negligence. <br /> Section 5. Modifications <br /> The parties agree that this Agreement is the complete expression of the terms hereto <br /> and any oral representation or understanding not expressly incorporated herein is <br /> excluded. The parties reserve the right to modify this Agreement in writing and to <br /> add new members to the Consortium. <br /> Section 6. Governing Law and Venue <br /> This Agreement has been and shall be construed as having been entered into and <br /> delivered within the State of Washington, and it is mutually understood and agreed <br /> by each party hereto that this Agreement shall be governed by the laws of the State <br /> of Washington, both as to interpretation and performance, and applicable federal <br /> laws and regulations. Any action hereunder must be brought in the Superior Court of <br /> Washington for Snohomish County, unless the County determines that a federal <br /> forum is appropriate to the issued raised. <br /> Section 7.
