9 <br /> AMENDMENT NO. ONE TO LICENSE AND MEMORANDUM OF AGREEMENT <br /> REGARDING THE SOUTH EVERETT TRANSIT CENTER AT EVERETT <br /> THE CITY OF EVERETT ("City") <br /> AND <br /> STEADFAST EVERETT I, LLC, STEADFAST EVERETT II, LLC, <br /> STEADFAST EVERETT III, LLC, STEADFAST EVERETT IV, LLC, <br /> STEADFAST EVERETT V,LLC, STEADFAST EVERETT VI, LLC, <br /> as Tenants-in-Common ("Steadfast") <br /> The City and Steadfast agree to amend and modify their License and Memorandum of <br /> Agreement Regarding the South Everett Transit Center at Everett Mall dated March 8, 2005 <br /> (the"Agreement") as follows: <br /> 1. Section IV STEADFAST'S RESPONSIBILITIES is modified to read as follows: <br /> A. Steadfast hereby agrees to: <br /> 1. Provide water, sewer, electrical power, and conduit for voice and data lines to <br /> the permanent Transit Station site. <br /> 2. Provide temporary water, sewer and electrical power connections for the <br /> temporary comfort station trailer during construction of the permanent facility. <br /> 3. Reimburse City of Everett for its actual costs of relocation and installation of <br /> the temporary comfort station trailer to a maximum of Five Thousand Dollars <br /> ($5,000). <br /> 4. Reimburse City of Everett for the purchase and installation of transit customer <br /> shelters and benches purchased by the City for the Everett Mall Station to a <br /> maximum of Fifteen Thousand Dollars ($15,000). <br /> SECTION IV, Paragraph C, regarding Steadfast's responsibility to design and build a <br /> custom shelter, is hereby deleted in its entirety. <br /> 2. Section V CITY'S RESPONSIBILITIES is modified to read as follows: <br /> A. City herby agrees to: <br /> 1. Design and build a permanent driver's comfort station/customer service center <br /> on the transit platform. <br /> 2.
