• <br /> 10 SUPPLEMENTAL AGREEMENT NO. 2 <br /> To <br /> PROFESSIONAL SERVICES AGREEMENT <br /> This agreement entered into this day of 2005, by and between the City of <br /> Everett, a municipal corporation under the laws of the State of Washington (City) and MWH <br /> Americas, Inc. (Contractor). <br /> Witneseth: <br /> Whereas the City and Contractor entered into an agreement April 8th, 2003, entitled "Professional <br /> Services Agreement" (Agreement) between the City of Everett and MWH Americas, Inc. to <br /> provide engineering services for Replacement of Water Transmission Lines 2&3— Phase 6, and <br /> amended the agreement by Supplemental Agreement No 1 to provide engineering services for <br /> Replacement of Water Transmission Lines 2&3 - Phase 7. <br /> Whereas the City and Contractor desire to supplement the Agreement for the purpose of <br /> reducing the cost of construction by providing additional engineering services for alternative <br /> design concepts study and development of the transmission line replacement project including <br /> the following major categories of work tasks: Project Management, Meetings and QA/QC; <br /> Supplemental Geotechnical Investigations, Alternative Design Concepts Evaluation, Permitting <br /> Assistance; and Undefined Services. <br /> Now therefore, the City and Contractor do mutually agree as follows: <br /> All provisions in the Agreement shall remain in effect except as expressly modified by this <br /> supplement. The changes to the Agreement are described as follows: <br /> Amend the previous Exhibit A, Scope of Work, by adding: "Exhibit A-2 Scope of Work, <br /> Engineering Services for Replacement of Water Transmission Lines 2 and 3 - Phase 6 <br /> Project, Alternative Design Concepts Study and Development". <br /> Amend the previous Exhibit B, Compensation, by adding "Exhibit B-2"which includes the <br /> updated 2005 Rate Schedule and an estimated Project Cost Summary by task for the <br /> additional engineering services. <br /> Modify Paragraph 4. Compensation, subparagraph D, which describes the maximum total <br /> compensation, by deleting the existing sentence and replacing with the following sentence: <br /> "Total compensation, including all services and expenses, shall not exceed a maximum <br /> of One Million Three Hundred Forty Seven Thousand Nine Hundred Thirty Nine Dollars <br /> ($1,347,939)".
