5 <br /> 8. EFFECTIVE DATE, DURATION, AND TERMINATION <br /> 8.1 Either party may terminate this AGREEMENT, for any reason, upon providing thirty (30) <br /> days written notice to the other party, in which case the City shall pay the County for all <br /> services provided up to and including the date of termination. <br /> 8.2 Termination shall not affect the rights and obligations of the parties under Section 5. <br /> 9. WAIVER <br /> No term or provision herein shall be waived and no breach excused, unless such waiver or <br /> consent shall be in writing and signed by the party claimed to have waived or consented. <br /> 10. ENTIRE AGREEMENT <br /> This AGREEMENT, including any exhibits and documents referenced herein, constitutes the <br /> entire agreement between the parties, and supersedes all proposals, oral or written, between the <br /> parties regarding the acquisition and sharing of LiDAR data. <br /> 11. THIRD PARTY BENEFICIARY STATUS <br /> The parties agree that this AGREEMENT shall not confer third-party beneficiary status on any <br /> non-party to this AGREEMENT. <br /> 12. SEVERABILITY <br /> If any provision of this AGREEMENT or its application to any person or circumstance is held <br /> invalid, the remainder of the provisions and/or the application of the provisions to other persons <br /> or circumstances shall not be affected. <br /> 13. RELATIONSHIP TO EXISTING LAWS AND STATUTES <br /> This AGREEMENT in no way modifies or supersedes existing state laws and statutes.
