5 2.5 This AGREEMENT is entered into for the limited purpose of sharing this new LiDAR imagery and related dataset, and shall in no way apply to other governmental services. 3. COMPENSATION The CITY shall pay the COUNTY $18,000.00 (Eighteen Thousand Dollars) upon receipt of the new LiDAR imagery and related dataset of the area depicted on the map in Exhibit A. 4. AMENDMENTS Provisions within this AGREEMENT may be amended with the mutual consent of the parties hereto. No additions to, or alterations of the terms of this AGREEMENT shall be valid unless made in writing, formally approved, and executed in the same manner as this AGREEMENT. 5. INDEMNIFICATION AND LIABILITY 5.1 The CITY hereby releases, covenants not to bring suit, and agrees to indemnify and hold harmless the COUNTY, its elected and appointed officials, officers, representatives, agents, employees, and volunteers from any and all claims, costs, judgments, losses, or suits, including attorneys' fees awards or liabilities to any person, including claims by the CITY'S or COUNTY'S own employees for which the CITY or COUNTY might otherwise be immune under Title 51 RCW, arising out of or in connection with the performance of this AGREEMENT, except for injuries and damages caused by the sole negligence of the COUNTY. 5.2 The provisions of this section shall survive the expiration or termination of the AGREEMENT. 6. APPLICABLE LAW This AGREEMENT shall be construed in accordance with the laws of the State of Washington, and jurisdiction over any resulting dispute shall be in Snohomish County Superior Court, Snohomish County, Washington. 7. LEGAL REQUIREMENTS Both parties shall comply with all applicable federal, state, and local laws in performance of this AGREEMENT.
