SUPPLEMENTAL AGREEMENT NO. 3 To PROFESSIONAL SERVICES AGREEMENT This agreement entered into this day of , 2006, by and between the City of Everett, a municipal corporation under the laws of the State of Washington (City) and MWH Americas, Inc. (Contractor). Witneseth: Whereas the City and Contractor entered into an agreement April 8th, 2003, entitled "Professional Services Agreement" (Agreement) between the City of Everett and MWH Americas, Inc. to provide engineering services for Replacement of Water Transmission Lines 2 & 3— Phase 6, and amended the agreement by Supplemental Agreement No 1 to provide engineering services for Replacement of Water Transmission Lines 2&3 - Phase 7, and amended the agreement by Supplemental Agreement No 2 to provide engineering services for alternative design concepts study and development of the transmission line replacement project. Whereas the City and Contractor desire to supplement the Agreement for the purpose of providing additional engineering services for design of Phase 6 utilizing both pile-supported elevated pipeline and HDD construction methodologies including the following major categories of work tasks: Project Management, Meetings and QA/QC; Preliminary Design and Project Permitting; Final Design and Bidding Assistance; and Undefined Services. Now therefore, the City and Contractor do mutually agree as follows: All provisions in the Agreement shall remain in effect except as expressly modified by this supplement. The changes to the Agreement are described as follows: Amend the previous Exhibit A, Scope of Work, by adding: "Exhibit A-3 Scope of Work, Engineering Services for Replacement of Water Transmission Lines 2 and 3 - Phase 6 HDD Project". Amend the previous Exhibit B, Compensation, by adding "Exhibit B-3" which includes the updated 2006 Rate Schedule and an estimated Project Cost Summary by task for the additional engineering services. Add new Exhibit C, Project Schedule which includes the project duration for the three major work task categories identified above. Modify Paragraph 3. Time of Beginning and Completion of Performance, by deleting the existing sentence and replacing with the following sentence: "This Agreement shall commence as of the date of execution of this Agreement and shall be completed by December 31, 2008."
