[1985 c 37 § I2.] RCW 18.08.420 Organizalion as corporalion or joinl atock associetion—Procedure--Requiremenls. (I) An architect or architects may organize a corpora- tion formed cither as a business wrporation under the provisions of Title 23A RCW or as a professional cor- porutian under the pravisions of chaptcr 18.100 RCW. For an architect or.architects to pructice architec�ure through a corporation or joint stock ussociation orga- nizcd by any person under Titic 23A RCW, the corpo- ration or joint stock associatian shall file with thc board: (a) Thc application for ccrtiGcate of auti�wization upon a(orm to be prescribcd by the board and contain- ing informutiun required to enuble thc bo;�rd to deter- mine whethcr the corporation is qualified undcr this chaptcr to practice architecwre in this statc; (b) Its notices of incorporation and bylaws and a ccr- tificd copy of a ruolution of the board o( directors of the curporation that designates individuals rcgistcred under this ohaptcr as responsibic fur the practicc of archi[cc- wrc by the corporation in this statc and that providcs thrt full authariry to make aU final architectural deci- sions on bchalf of the corpora:ion with respect to work performed by the corporation in this statc shall be granted and delegatcd by the board o( dircctors �o thc individualx �esignatcd in the resolution. The filing of the resolution shall not rclicve the corporation of any rc- sponsibility or liability imposed upon it by law or by conlract; and (c) A dcsignation in writing setting forth thc name or namcs of the person or persons rcgistered under this ch•rpter aho arc responsible for the architccwre of the firm. If thcrc is a change in the person or persons rc- sponsible for the architecture of the C�rm, the changes sh tll be designated in writing and filed with the tward within thirly days after the effective date o( the chznges. (2) Upon the filing with the board of thc application (or ccrtificatt of authorization, thc ccrtificd copy oC thc resalution, and the information specified in subsection ( I) uf this section, the board shall authorize the director to issuc to thc corporation a certificate o( authorizltion to prxctico architecture in this state upon a determina- tion by the boxrd that: (a) Thc byl�ws of thc wrpuralion contuin provisions thai all architccturul dccixiunx permining lo •rny prujcct ur architccwral activitiw in this statc xhall bc madc by �hc spccificd architccts responxiblc fur thc projcct ur ar- chitccturul activitics, ur o�hcr responsiblc architcets un- der �he direction or supervision o( the architccts rcxpon,iblc for thc project or architcctural activities; (b) Thc applicant corporation has thc ability to pro- vide, through quxlified personncl, pro(essional scrvices or crcativc work rcquiring architectural cxpericncc, und with respect to the architceturai servicw that �hc corpo- ration undertakes or offers to undertake, thc personnel have thc abiliry to apply spccial knowlcdgc to lhc pro- fessional services or creativc work such a: consultation, investigation, evaluution, planning, dcsign, and adminis- tration of the construction contract in wnnection with any public or private structures, buildings, equipmem, proccsses, works, or projcc�s; (c) The application for certificatc of authori�ation contains the profasinnal records of the designated per- son or persons who arc responsiblc; (d) The application for cer�ificale of authoriaation states the cxperience of the corporation, if any, in furv nishing architecwral scrvices during ti:: prccedin� fivc- year period; (e) The applicant corporation mects such ather re- quirements rclatcd to profcssional wmpetence in the furnishing of architectural scrvices as may be e,tablishcd and promulgatcd by thc board in furthcrancc of thc purposes of this chaptcr; and (Q The applicant carporalion is posscsscd of thc abil- ity and competencc lo furnish architccwr•rl scrviccs in thc public intcrest. (3) Upon recommcndatiun of thc baard, �hc dircctor shall refusc to issue or may suspend or rcvokc a certifi- cate of authorization to a wrporation if thc board finds that any of thc officcrs, dircctors, incorporatars, or thc slockholdcrs holding a majority af stock of thc corpora- tion havc committcd �n act prohibitcd undcr RCW I8- .08.440 or have been Found personally responsiblc for misconduct undcr subscction (6) or (7) of this scctiun. (4) ]n the evcnt a wrporation, organizcd solely by a group o( architccts cach rcgistcrcd undcr this chap�er, applics for a ccrtificatc of authori7ation, thc board may, in its discrction, grant a certificatc uf authorization to that corporation bascd on a revicw o( thc profcwviunal records o( such incorporators, in licu of thc rcyuircd qualifications sct forth in �ubsection� ( I) and (2) of thi� scction. In the event thc owncrship o( such corporalion ix altered, the corporation ahall apply (or a reviscd ccrtifi- cate o! au�horization, based upon thc pro(cssional rc- cords of the owners if ezclusively architects, undcr lhc qualifications required by �ubscctions (I) and (2) o( this sectian. (5) Any wrporation authorized to pracUce archi�ec- ture under this chaptcr, tagethcr wi�h its dircetors and officers for their own individual acts, are respunsiblc to the same degrec as an individual rcgistercd •rrchitcct and shall conduct thcir business without misconduct or mal- prac[ice in the practicc of architccwre as defined in this chapter. (6) Any cor�wr�tion that h•rs bacn ccrtificd undcr �his chaptcr and hax cngagcd in lh^ praclicc af archituwrc shall havc iu ccrtificatc uf :iuthori�atiun cithcr sus- pcndcd or rcvokcd by thc board if, aflcr a pru�x:n c�ar ing, thc board finds that thc corpuration has commilicd misconducl or malprac�ice undcr RCW 18.08.440.
