AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br /> THE CITY OF EVERETT AND ROTH HILL ENGINEERING PARTNERS, LLC <br /> This agreement entered into this day of October, 2006 by and between the <br /> City of Everett, a municipal corporation under the laws of the State of Washington <br /> (City) and Roth Hill Engineering Partners, LLC (Service Provider). <br /> Witneseth: <br /> Whereas the City and Service Provider entered into an agreement March 22, 2006, <br /> entitled "Professional Services Agreement" (Agreement) between the City of Everett <br /> and Roth Hill Engineering Partners, LLC to provide engineering design services for <br /> Sewer System Replacement "I" and Water Main Replacement "J" Projects. <br /> Whereas the City and the Service Provider desire to amend the Agreement for the <br /> purpose of providing additional engineering services for an expanded project area. <br /> Now Therefore, the City and Service Provider do mutually agree to amend the <br /> Agreement as follows: <br /> 1 . The work included in Exhibit A-1 (Roth Hill proposal letter dated September <br /> 22, 2006) of this amendment is added to the Scope of Work described in <br /> Exhibit A of the Agreement. <br /> 2. Paragraph 4(B) is modified to read as follows: <br /> The Service Provider shall be paid such amounts and in such manner as <br /> described in Exhibit B as specified in the Agreement and as described in <br /> Exhibit B-1 of this Amendment. <br /> 3. Paragraph 4(D) is modified to read as follows: <br /> Total compensation including all services and expenses, shall not exceed a <br /> maximum of Two Hundred Two Thousand, Six Hundred Dollars ($202,600). <br /> 4. All provisions in the the Agreement shall remain in effect except as expressly <br /> modified by this supplement. <br /> 1 <br />
