r <br /> personal property or trade fixtures are levied against Landlord or Landlord's property or if <br /> the assessed value of the Premises is increased by the inclusion therein of a value ' - <br /> placed upon such personal property or trade fixtures of Tenant and if Landlord, after <br /> written notice to Tenant, pays the taxes based upon such increased assessment, which <br /> Landlord shall have the right to do regardless of the validity thereof, but only under proper <br /> protest if requested by Tenant, Tenant shall, upon demand, repay to Landlord the taxes <br /> so levied against Landlord, or the portion of such taxes resulting from such increase in the <br /> assessment. <br /> 8. Condition of Premises and Tenant Improvements. Landlord represents and <br /> warrants that as of the commencement date of the Lease, the Premises and the Building <br /> will be suitable and in good working order for Tenant's use as office space. The taking of <br /> possession of the Premises by Tenant shall conclusively establish that the Premises and <br /> the Building were in satisfactory condition at such time. <br /> Prior to the commencement date of the Lease, Landlord, at Landlord's expense, <br /> shall make the following improvements to the Premises: (i) install a wall and a door to <br /> create a new office in the northwest corner of the Premises and install a door on the <br /> existing adjacent office; (ii) paint the new wall; (iii) permit Tenant to use the reception <br /> desk/counter and five cubicles that are currently in the space, which will be placed in <br /> locations designated by Tenant, and hook up power to the cubicles and desk. <br /> 9. Alterations. Tenant shall make no alterations, additions or improvements in or to the <br /> Premises without Landlord's prior written consent (which shall not be unreasonably <br /> withheld), and then only by licensed contractors or mechanics approved by Landlord. <br /> Tenant shall submit to Landlord plans and specifications for any proposed alterations, <br /> additions or improvements to the Premises, and may not make such alterations, additions <br /> or improvements except in accordance with the plans and specifications approved by <br /> Landlord, and shall not amend or modify such plans and specifications without Landlord's <br /> prior written consent. Tenant covenants and agrees that all work done by Tenant shall be <br /> performed in full compliance with all laws, rules, orders, ordinances, regulations and <br /> requirements of all governmental agencies, offices and boards having jurisdiction over the <br /> Premises. Before commencing any work, Tenant shall give Landlord at least ten (10) <br /> days' written notice of the proposed commencement of such work and shall, if required by <br /> Landlord, secure at Tenant's own cost and expense, a completion and lien indemnity <br /> bond satisfactory to Landlord for said work. All alterations, additions or improvements <br /> upon the Premises made by either party, including (without limiting the generality of the <br /> foregoing) all wall coverings, built-in cabinet work, paneling and the like, shall become the <br /> property of Landlord, and shall remain upon and be surrendered with the Premises as a <br /> part thereof, at the end of the Term hereof. <br /> 5 <br /> I <br />
