SUPPLEMENTAL AGREEMENT NO. 2 To PROFESSIONAL SERVICES AGREEMENT This agreement entered into this day of April, 2007, by and between the City of Everett, a municipal corporation under the laws of the State of Washington (City) and URS (Contractor). Witneseth: Whereas the City and Contractor entered into an agreement on September 25, 2006, entitled "Professional Services Agreement" (Agreement) between the City of Everett and URS, to provide engineering services for the pre-design of the South End Interceptor— North Segment 36-in Sewer Line Protection and on November 7, 2006 amended the agreement by Supplemental Agreement No. 1 to provide design services for the South End Interceptor North Segment 36-in Sewer Line Protection Project. Whereas the City and Contractor desire to supplement the Agreement for the purpose of providing engineering support services during the construction of the sewer line protection project. Now therefore, the City and Contractor do mutually agree as follows: All provisions in the Agreement shall remain in effect except as expressly modified by this supplement. The changes to the Agreement are described as follows: Amend the previous Exhibit A, Scope of Work, by adding: "Exhibit A-1 Engineering Support for the South End Interceptor— North Segment 36-Inch Sewer Line Protection — Construction". Amend the previous Exhibit B, Compensation, by adding "Exhibit B-1" which includes an estimated Project Cost Summary by task for the additional engineering services. Modify Paragraph 4. Compensation, subparagraph D, which describes the maximum total compensation, by deleting the existing sentence and replacing with the following sentence: "Total compensation, including all services and expenses, shall not exceed a maximum of Ninety One thousand Three hundred Dollars ($91,300)."This amounts town increase of$40,000. 23 1 of 2
