i 6 AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND CAROLLO ENGINEERS, P.C. The City and Carollo Engineers, P.C. agree to amend and modify their professional services agreement dated November 15th, 2004 (the"Agreement") as follows: WHEREAS, Carollo Engineers and the City entered into an Agreement dated November 15th, 2004 to provide engineering consulting services for the design of the Clearwell No. 2 Project at the Everett Water Filtration Plant; and WHEREAS, additional design consulting and construction period support services are needed, and the Agreement is likely to expire prior to completion of the project; and WHEREAS, the total amount of compensation stated in the Agreement is insufficient for the remainder of the project and an additional $0,000 of contract value is needed to complete the project; and WHEREAS, the City of Everett requires continued assistance from Carollo Engineers for services as described in Exhibit A of this Amendment; NOW THEREFORE, the City of Everett and Carollo Engineers agree to amend and modify the Agreement as follows: 1. The work described in Exhibit A of this Amendment is added to the Scope of Work described in Exhibit A of the Agreement. 2. Paragraph 3 of the Agreement is amended to read as follows: 3. Time of beginning and Completion of Performance. This Agreement shall commence as of the date of execution of this Agreement and shall be completed by December 31St, 2009. 2. Paragraph 4(D) is modified to read as follows: Total compensation, including all services and expenses, shall not exceed a maximum of One Million, Six Hundred Seventy Nine Thousand, Six Hundred and Forty Seven Dollars ($1,679,647). 3. The effective date of this Amendment is June 1St, 2007. 4.
