8 <br /> Peak Golf Season: The time within a twelve month period designated by the <br /> City of Everett where published peak green fees are in <br /> effect. <br /> Premises: The courses' clubhouse, including restrooms, restaurant, <br /> and offices with attached patios and connected <br /> paved and unpaved walkways, structures, rental halls and <br /> golf car storage areas. <br /> SWOT: Strengths, weakness, opportunities and threats. <br /> Transition Plan: "Transition Plan" shall have the meaning set forth in <br /> Article G.1.a of the Scope of Work. <br /> B. GENERAL DESCRIPTION OF SERVICES <br /> 1. General Description <br /> a. The Contractor shall manage, operate and maintain the Premises on behalf <br /> of the City in a generally accepted business-like manner consistent with <br /> both parties' objective of operating a high-quality golf operation that is <br /> available to the golfing public and in accordance with the Contractor's <br /> response, including subsequent written proposal clarifications, to the <br /> City's Request for Proposal, 2007-002, which are incorporated herein by <br /> reference. <br /> b. Contractor provided services shall include the management, operation and <br /> custodial maintenance (the operation) of the pro shop, restaurant and <br /> rental hall facilities in accordance with the City's Code of Ethics, which is <br /> on file with the City Clerk's Office and City Parks Departments. Parks is <br /> responsible for grounds and landscape maintenance. <br /> c. The Contractor will not permit any acts or conduct on the part of its <br /> employees that would be detrimental to the City's operation of the <br /> courses. <br /> 2. Employees <br /> a. The Contractor shall select and employ personnel to operate and maintain <br /> the pro shop, restaurant and rental hall facilities, all of whom shall be <br /> employees of the Contractor. The Contractor will hold the City, its <br /> officers, employees and agents harmless from all claims, valid or invalid, <br /> made to the City because of the employment obligations of the Contractor. <br /> b. The Contractor shall have the right to terminate any of its employees in its <br /> sole discretion. <br /> 2 9m <br />
