8 <br /> c. In the event that the City reasonably believes that the job performance <br /> and/or behavior of a Contractor's employee are inappropriate regarding <br /> the operation of the courses, the City shall inform the Contractor. The <br /> Contractor shall have a reasonable opportunity to counsel and work with <br /> said employee to improve job performance and behavior. If the <br /> Contractor's employee continues to be unsatisfactory to the City, the City <br /> shall inform the Contractor and the Contractor shall remove the employee <br /> from assignment to either course. <br /> d. The Contractor shall comply with all applicable state and federal labor <br /> laws. The Contractor shall at all times defend, indemnify, and hold the <br /> City, its officers, employees and agents free, clear and harmless from all <br /> actions, claims, demands, and expenses arising out of said laws, and rules <br /> and regulations that are or may be promulgated in connection therewith. <br /> e. The Contractor's employees shall conform to all rules, regulations <br /> policies and procedures now in force in the business of the City, as well as <br /> all rules, regulations policies and procedures as hereafter may be <br /> promulgated or placed into operation by the City. The Contractor will <br /> assist the City in the enforcement of such rules and regulations. <br /> f. The Contractor agrees to be responsible for all acts, omissions or <br /> commissions of its employees. Any and all claims that may or might arise <br /> on behalf of said employees or the Contractor, while so engaged, or any <br /> and all claims made by a third party as a consequence of any negligent act <br /> or omission on the part of the Contractor or its employees, while so <br /> engaged on any work or services provided under the terms of this <br /> Contract, shall be the sole obligation and responsibility of the Contractor. <br /> g. The Contractor shall not permit the use of loud, vulgar or profane <br /> language, boisterous or lewd or immoral conduct in or about buildings and <br /> the courses by its employees or the general public. The Contractor <br /> shall immediately contact the City's Police Department and report the <br /> presence of any disorderly persons. The Contractor must keep a written <br /> log and file of all Police reports and available related documentation for <br /> submittal to Parks on a monthly basis. <br /> h. The Contractor shall also insure that neither the Contractor nor its <br /> employees shall engage in either religious or political activity while on <br /> duty at the courses. <br /> i. The Contractor hereby expressly assumes all responsibility for any act <br /> done by its employees, and the Contractor expressly agrees that it will <br /> defend, save harmless, and indemnify the City, its officers, employees and <br /> 9 2 agents against any loss or expense, claim or claims, action or actions, <br /> injuries or damages arising from any act done by the Contractor's <br /> 3 <br />
