8 <br /> 6. Building and Maintenance Services <br /> a. The Contractor shall keep clean and maintain the Premises in accordance <br /> with Exhibit B, including but not limited to, the clubhouses, storage <br /> spaces, rental hall, restrooms, connecting foyers, patios, dumpster <br /> locations, golf car rentals, restaurants, and all buildings, structures, <br /> improvements, walkways, hardscape areas adjacent to buildings, fixtures, <br /> equipment and utility systems which may now or hereafter exist on or in <br /> the Premises, in good, operable, usable and sanitary order and repair and <br /> in a good, safe condition throughout the term of this Contract, providing <br /> for such repairs, replacements, rebuilding and restoration as may be <br /> required in compliance with this Contract. The cost of such repairs and <br /> restoration that are incurred by the Contractor will be considered a Direct <br /> Cost unless they constitute a Capital Expenditure. The Contractor shall <br /> not be responsible for grounds and landscape maintenance which shall be <br /> the responsibility of the City. <br /> b. All such replacements, rebuilding and restoration, but not repair, shall be <br /> approved by the City prior to implementation, which approval shall not be <br /> unreasonably withheld. <br /> c. The Contractor shall have complete responsibility for maintaining all fire <br /> extinguishers, AED units and all other equipment as required by state and <br /> local codes. <br /> d. The Contractor shall be responsible for the opening and locking of golf <br /> course gates when the courses' open and close. The Contractor shall arm <br /> and disarm any installed electronic security system and coordinate pass <br /> codes, keys and security measures with the City. <br /> 7. Improvements <br /> a. Any improvements, additions, alterations or changes (collectively, <br /> "improvements") to the courses made by the Contractor shall be subject <br /> to, prior to the commencement of the improvements work, written <br /> approval by the City and the securing of applicable permits, and <br /> compliance with such terms and conditions as may be imposed by the <br /> City. <br /> 8. City Ownership <br /> a. Ownership of all courses' structures, buildings or improvements thereto or <br /> thereon, merchandise, golf cars, hand carts and course maintenance <br /> equipment constructed or acquired by the City, or Contractor on behalf of <br /> the City,and all alterations, additions or betterments thereto, shall remain <br /> with and owned by the City. <br /> 9 <br /> 7 <br />
