CITY OF EVERETT PROFESSIONAL SERVICES AGREEMENT This AGREEMENT is made and entered into on this day , ,2007 by and between the CITY OF EVERETT, a municipal corporation under the laws of the State of Washington, hereinafter referred to as the "City," and Thomas/Lane Associates, whose address is 2600 Harvard Ave. E., Seattle, WA 98102,hereinafter referred to as the "Contractor." WHEREAS, the City desires to engage the Contractor to assess the soundness of projections and estimates that have been made of scheduled air service that can be attracted to Paine Field and if the projections prove sound, analyze the resulting impacts, benefits and costs associated with said air service; and WHEREAS, Contractor's principals have experience in the application of economic research methods to public policy analysis,the interpretation of quantitative data in terms of human impacts and the use of neutral quantitative information to work with elected officials, agency staffs and concerned stakeholders to define problems and identify strategies around which consensus can be built; and WHEREAS, Contractor's principals have experience in the fields of transportation, airports and aviation and expertise in evaluating the impacts and feasibility of scheduled commercial air service; and WHEREAS,the Contractor represented, and by entering into this Agreement now represents,that it is fully qualified to perform the work to be performed hereunder in a competent and professional manner; NOW, THEREFORE,the parties herein do mutually agree as follows: 1. Engagement of Contractor. The City hereby agrees to engage the Contractor, and the Contractor hereby agrees to have its principals, Cheryl K. Thomas and Dr. Theodore Lane, supported as necessary by Contractor's associates and/or staff,to perform the following services in a competent and professional manner: 1) Assess the soundness of projections and estimates that have been made of scheduled air service that can be attracted to Paine Field(Phase I); 2) If the Phase I analysis concludes that the projections are sound and the estimates attainable, conduct a Phase 2 analysis that will consist of estimating the resulting impacts, benefits, and costs associated with the scheduled commercial air service that can be attracted to Paine Field. The detailed scope of work is attached as Exhibit A (hereafter referred to as "Work"): Without a written directive of an authorized representative of the City, the Contractor shall not perform any services that are in addition to, or beyond the scope of, the Work between the City and Contractor.
