7 <br /> 2007 STOP Violence Against Women Formula Grant <br /> Intergovernmental Agreement <br /> • Settle all outstanding liabilities and all claims arising out of such termination of orders <br /> and subcontracts,with approval of the Department, if required. <br /> Upon termination of this Agreement,the Department may require the Contractor to deliver <br /> to the Department or to another specified location,materials, equipment, or property <br /> specifically produced or acquired under this Agreement or prior Agreements involving the <br /> same funding source and program purpose. <br /> If this Agreement is terminated either by the Department or the Contractor, the Contractor <br /> remains obligated to submit reports required by the Department. <br /> If the obligations of the Contractor under this Agreement are transferred to another <br /> Contractor during, or at the close of,this Agreement period, the Contractor remains <br /> obligated during the transfer period. <br /> The Contractor shall be entitled to receive reimbursement for expenses incurred in <br /> connection with any satisfactory work completed by the effective date of the suspension or <br /> termination. <br /> The Department may withhold from any amounts due the Contractor for completed work or <br /> services the sum which the Department determines to be necessary to protect the <br /> Department against loss because of outstanding liens or claims of former lien holders. <br /> Payments made to Contractors or recoveries by the Department under Agreements <br /> terminated for cause, shall be in accordance with the legal rights and liabilities of the parties. <br /> Notwithstanding any other provisions of this Agreement,the Contractor shall not be relieved <br /> of liability to the Department for costs, if any, assessed against the Department by the <br /> United States if such costs are incurred as a result of breach of this Agreement by the <br /> Contractor. <br /> 24. TRAVEL AND SUBSISTENCE REIMBURSEMENT <br /> Travel and subsistence reimbursement shall be made in accordance with the guidelines <br /> followed by the Contractor in the course of normal operations. However,travel and <br /> subsistence reimbursement shall not exceed per diem rates and travel allowances paid in <br /> accordance with rates set for state employees pursuant to RCW 43.03.050 and RCW <br /> 43.03.060 as now existing or hereafter amended. <br /> 25. TREATMENT OF ASSETS <br /> Purchase of equipment with a useful life of more than one year and an acquisition cost of <br /> $5,000 or more per unit is not allowed. <br /> 26. WAIVER <br /> • <br /> A failure by either party to exercise its rights under this Agreement shall not preclude that <br /> party from subsequent exercise of such rights and shall not constitute a waiver of any <br /> 3 41 <br /> Page 10 of 18 <br />
