AMENDMENT NO.4 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND CHS ENGINEERS, LLC The City and CHS Engineers, LLC agree to amend and modify their professional services agreement dated November, 15, 2002 (the "Agreement") as follows: 1. The work included in Exhibit A-4 of this amendment is added to the Scope of Work described in Exhibits A, A-1, A-2 and A-3 of the Agreement. 2. Paragraph 3 is modified to read as follows: This Agreement shall commence as of the date of execution and shall be completed by December 31, 2009. Actual completion of the work is dependent upon the construction contractor's schedule. 3. Paragraph 4(C): References to "Exhibit C" in this paragraph, shall be replaced with -"Exhibits C, C-1, C- 2, C-3 and C-4". 4. Paragraph 4(B) is modified to read as follows: The Contractor shall be paid such amounts and in such manner as described in Exhibit B as specified in the Agreement, as described in Exhibit B-1 of Amendment No. 1 and Exhibit B-2 of Amendment No 2, Exhibit B-3 of Amendment No. 3 and Exhibit B-4 of this Amendment. 5. Paragraph 4(D) is modified to read as follows: Total compensation, including all services and expenses, shall not exceed a maximum of One Million, One Hundred Twenty -Seven Thousand, Four Hundred Twenty -Seven Dollars ($1,127,427). 6. The effective date of this Amendment is November , 2007. 7. All terms, conditions and provisions of the Agreement remain in full force and effect except as expressly modified by this Amendment. 8. Exhibits associated with this Amendment No. 4 are attached herewith.
