4 <br /> 5.3 TRANSIT AGENCY CONTACTS <br /> See Attachment A for Designated Transit Agency Contacts. <br /> 6. COMMUNITY TRANSIT,EVERETT TRANSIT,KITSAP TRANSIT,KING COUNTY,PIERCE <br /> TRANSIT and WASHINGTON STATE FERRIES RESPONSIBILITIES <br /> Sound Transit will transmit invoices for the Federal Employee Pass <br /> Agreement sent to USDOT on the Agencies (Community Transit, Everett <br /> Transit, Kitsap Transit, King County, Pierce Transit and Washington State <br /> Ferries) behalf, as the Agencies' Contact are designated in Attachment A. <br /> The Agencies will invoice Sound Transit for revenues to be distributed in <br /> accord with section 5 of this agreement. The Agencies shall submit <br /> invoices, once Sound Transit has received payment from USDOT, to Sound <br /> Transit's Program Contact as designated in Attachment A. Sound Transit <br /> shall reimburse the Agencies within forty-five (45) days of receipt of an <br /> invoice from the Agencies. <br /> Community Transit,Everett Transit,Kitsap Transit,King County,Pierce Transit and Washington <br /> State Ferries will invoice Sound Transit for revenues to be distributed in accord with section 5 of <br /> this agreement. Invoicing will not take place until after Sound Transit has received payment from <br /> USDOT. <br /> 7. TERM OF AGREEMENT <br /> This Agreement shall take effect as of 12:00 a.m. on October 1,2007 and shall expire at 11:59 p.m. <br /> on September 30,2008. Further,the Agencies may agree to extend this Agreement for up to two <br /> (2)additional one-year periods by written mutual agreement. <br /> 8. TERMINATION <br /> 7.1 Termination for Cause <br /> Any Agency may terminate this Agreement in the event one or more other Agencies fails to <br /> perform its obligations as described in this Agreement by providing written notice not less <br /> than fourteen(14)days prior to the effective date of termination. Such notice to the other <br /> Agencies shall state the reason(s)for failure to perform. The other Agency(s) shall be given <br /> an opportunity to cure the default within four(4)days. Failure to cure within the designated <br /> period shall result in termination of this Agreement. <br /> 7.2 Termination for Convenience <br /> Any Agency may also terminate this Agreement for convenience and without cause by <br /> providing the other Agencies with written notice not less than sixty(60)days in advance. <br /> 7.3 Effect of Termination on Agreement <br /> The Agencies understand that the Federal Employee Pass Agreement,pursuant to this <br /> Agreement,does not terminate upon the event of termination or expiration of this Agreement. <br /> 9. AMENDMENTS AND MODIFICATIONS <br /> This Agreement may be amended or modified only by written instrument signed by the Agencies <br /> hereto. <br /> 10.
