J <br /> at Exhibit D. Rates under this agreement are subject to modifications per City Council <br /> authorizations of new ordinances. Costs are based on metered water consumption, and <br /> for K-C will be based on the 6-inch water service meter located at K-C Riverside, 4000 <br /> Railway Avenue, Everett, WA. Bills will be submitted to K-C per the standard 2-month <br /> utility billing cycle. <br /> 4. Payments and Budget Process <br /> Each Party to this Agreement is responsible for payment of its share of the actual <br /> costs according to the allocation schedule in Section 3. Each Party shall track its costs <br /> that qualify for Section 3 cost sharing throughout the calendar year. The Management <br /> Committee will gather and review costs from both Parties, perform a true-up as <br /> frequently as requested by the party incurring costs, and will then allocate costs between <br /> the Parties and bill either Party consistent with Section 3. As part of this process, each <br /> Party shall provide the other Party with cost information on any outstanding costs from <br /> the prior year within the first month of the new calendar year. <br /> The Parties intend for their participation in the Management Committee to be an <br /> in-kind contribution that will not be charged; however, in the event a Party is spending <br /> and documenting disproportionate and substantial time relative to the other Party, the <br /> Parties will consider an equitable adjustment to account for that time. <br /> 5. Coordination/Management <br /> The Parties will designate a Management Committee comprised of two persons <br /> from each party to this Agreement. One person from each Party will be designated the <br /> Party's lead and project manager, but each person will have a vote. The Management <br /> Committee will have final authority with regard to the scope and performance of tasks <br /> and other responsibilities described in this agreement. The Management Committee will <br /> determine whether the above-described tasks and responsibilities will be accomplished by <br /> City staff, K-C staff, or by a third party Contractor contracting with either Party. The <br /> Management Committee will determine the appropriate form of any written <br /> communications to implement its decisions. <br /> The Management Committee will attempt to resolve all matters by majority vote. <br /> In the event of an impasse on the Management Committee, the Parties will participate in <br /> 7 <br />
