I <br /> AMENDMENT NO. 1 TO THE PROFESSIONAL SERVICES AGREEMENT <br /> BETWEEN THE CITY OF EVERETT AND <br /> ASSOCIATION OF ATTORNEYS FOR THE ACCUSED, INC. <br /> THIS AMENDMENT is made and entered into this day of June, 2008, <br /> by and between the City of Everett (hereinafter referred to as "City") and Association of <br /> Attorneys for the Accused, Inc. (hereinafter referred to as "AAA" or "Contractor"). <br /> WHEREAS, the City and AAA entered into a Professional Services Agreement <br /> Public Defender Services-Association of Attorneys For the Accused dated July 11, 2007 <br /> (the "Agreement"), to provide public defender services for eligible persons entitled to <br /> representation in the City of Everett as authorized by law; and <br /> WHEREAS, the Agreement reflects the Indigent Defense Recovery Fee as <br /> $75.00. However, this fee is subject to change and is established by the Everett <br /> Municipal Court; and <br /> WHEREAS, the parties desire to amend the Agreement to clarify that the <br /> Recovery Fee is subject to change; and <br /> WHEREAS, the Agreement provides for the City to receive a copy of AAA's <br /> audited financial statements no later than the last working day of May 2008; and <br /> WHEREAS, the parties desire to amend the Agreement to change the May 2008 <br /> date to receive the audited financial statements to August 15, 2008 for the initial year <br /> of the Agreement and August 15, 2009 for the extension year of the Agreement, to <br /> coincide with AAA's fiscal tax years; and <br /> WHEREAS, the Agreement, by its current terms is scheduled to terminate on <br /> June 30, 2008; and <br /> WHEREAS, the City issued a Request for Proposals (RFP) for public defender <br /> services in March 2008, and the City has determined it will not proceed to enter into a <br /> new contract based upon that RFP review process; and <br /> WHEREAS, the parties desire an extension of the Agreement for one (1) year to <br /> June 30, 2009, specifying the compensation during the extension period subject to <br /> certain terms and conditions as specified herein that compensation paid to AAA may <br /> increase or decrease depending on the volume of criminal defense referrals that affect <br /> its overhead and attorney requirements under the Agreement; and <br /> WHEREAS, the City and AAA agree to amend the Agreement to: (a) clarify the <br /> Indigent Defense Recovery Fee; (b) change the date by which AAA provides the City <br /> with a copy of their audited financial statements from no later than the last working day <br /> of May of 2008 to August 15, 2008 and to August 15, 2009 for this Amendment; (c) <br /> 9 <br />
