1. <br /> AMENDMENT NO. 2 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br /> THE CITY OF EVERETT <br /> AND <br /> URS CORPORATION <br /> The City and URS Corporation agree to amend and modify their professional services agreement <br /> dated August 7, 2006 (the"Agreement") as follows: <br /> WHEREAS, the City and URS Corporation entered into the Agreement to provide design and <br /> construction support services for the 5 Line Replacement at the Pilchuck River using Horizontal <br /> Directional Drilling methods; and <br /> WHEREAS, the parties amended the Agreement on December 28,2007 to provide design and <br /> construction support services for the 5 Line Replacement at the Pilchuck River by an overhead <br /> structure, to increase the total compensation, and to extend the time for completion to December <br /> 31, 2010; and <br /> WHEREAS, additional investigation has shown that the replacement of the 5 Line at the <br /> Pilchuck River with an underground pipe using open-cut trench methods is feasible and best <br /> meets the security and maintenance needs of the City; and <br /> WHEREAS, work is not yet complete on the 5 Line Replacement at the Pichuck River for which <br /> URS Corporation provided design and construction support services; and <br /> WHEREAS, the Agreement is likely to expire prior to the completion of the project and the <br /> parties expect the work to be completed by December 31, 2011; and <br /> WHEREAS, the total amount of the compensation stated in the Agreement as amended is likely <br /> insufficient for the remainder of the project and an additional $97,000 of contract value is needed <br /> to complete the project; and <br /> WHEREAS, the City and URS Corporation agree to amend their Agreement to: (a) modify the <br /> scope of services; (b) extend the time for completion from December 31, 2010 to December 31, <br /> 2011, and (c) increase the maximum compensation by an additional $97,000 to $622,000; <br /> NOW THEREFORE, the City of Everett and URS Corporation agree to amend and modify the <br /> previously amended Agreement as follows: <br /> 1. The following work included in Exhibit A-2 of this amendment is added to the Scope of <br /> Work described in Exhibits A and A-1 of the Agreement as amended. <br /> 2. The compensation and reimbursable expenses in Exhibits B-2 and C-2 of the amendment <br /> are added to the compensation and expenses identified in Exhibits B, B-1, C and C-I of <br /> the Agreement as amended. <br />
