14 <br /> AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN 4 <br /> THE CITY OF EVERETT <br /> AND <br /> COSMOPOLITAN ENGINEERING GROUP <br /> The City and Cosmopolitan Engineering Group agree to amend and modify their professional <br /> services agreement dated August 20, 2007(the"Agreement") as follows: <br /> WHEREAS, Cosmopolitan Engineering Group and the City entered into an Agreement dated <br /> August 20,2007 to conduct studies and provide design and construction management services <br /> for new water intakes and recovery water discharge lines in the Lake Chaplain Reservoir for the <br /> City; and <br /> WHEREAS, work is not yet complete on the Lake Chaplain Recovered Water Outfall for which • <br /> Cosmopolitan Engineering Group provided design and construction management services; and <br /> WHEREAS, the Agreement is likely to expire prior to the completion of the project and the <br /> parties expect the work to be completed by December 31, 2010; and <br /> • <br /> WHEREAS, the total amount of the compensation stated in the Agreement is insufficient for the <br /> • <br /> remainder of the project and an additional $275,000 of contract value is needed to complete the • <br /> project; and • <br /> WHEREAS,the City and Cosmopolitan Engineering Group agree to amend their Agreement to: <br /> (a) modify the scope of services, (b) extend the time for completion from December 31, 2008 to <br /> December 31, 2010, and (c)increase the maximum compensation and expenses by an additional <br /> $275,000 to $395,000; <br /> NOW THEREFORE, the City of Everett and Cosmopolitan Engineering Group agree to amend <br /> and modify the previously amended Agreement as follows: <br /> 1. The following work included in Exhibit A-1 of this amendment is added to the Scope of <br /> Work described in Exhibit A of the Agreement. <br /> 2. Paragraph 3 is modified to read as follows: <br /> This Agreement shall commence as of the date of execution of this Agreement and shall <br /> be completed by December 31, 2010. <br /> 3.
