Risk of Loss. Bank Sponsor shall bear the risk of loss of thc Project Mitigation <br /> Credits prior to Closing. <br /> 2.5. Represenlalions and Warranties <br /> Iianl< Sponsor represents and warrants to Buyer thaC <br /> 2.5.1. Bank Sponsor is authorized by the Permitting Authorities to operate the SBMB <br /> and to obtain, hold, sell, and transfer Mitigation Credits; and <br /> 2.5.2. Bank Sponsor owns the Projcct Mitigation Credits and has the ri�t to scll said <br /> credits to Buyer. <br /> 2.6. Notice <br /> 2.6.1. Except as may be otherwise expressly provided for herein, all notices required or <br /> perntitted to be given under ilus Agreement shall be in writing and shall be <br /> delivered or sent: (a) in person; (b) by U.S. Mail, postage prepaid and certified with <br /> retum receipt requested; or(cl by nationally recognized ovemight delivery service, <br /> prepaid, and addressed as set forth below.
