In the event Bay Ridge does not <br />construct the Project and does not convey its interest in the <br />shoreline substantial development permit and DNS for the Project <br />to a third party, this agreement shall automatically terminate, <br />expire and be of no further force or effect. This agreement <br />shall remain in full force and effect so long as the Project <br />exists on the Property, subject to paragraph 14 above and the <br />voidability provisions thereof. <br />16. Authority. The parties hereto represent and warrant, <br />each to the other, that they have the necessary authority and <br />power to execute this agreement on behalf of themselves and <br />respective persons and entities which are a party to the <br />Appeal. The signators executing this Agreement in an individual <br />capacity, in addition to their responsibilities, obligations, <br />representations and warranties on behalf of SLAC which are not <br />deminished hereby, shall only be individually responsible and <br />liable for their own acts and not those of the other individual <br />signators. <br />17. Review and Approval. The parties executing this <br />agreement acknowledge that they have read the attached order, <br />agree to its form and content, hereby approve the same and <br />hereby waive notice of presentation. <br />18. Entire Agreement.
