VIA U.S. MAIL & FACSIMILE (425n57-8829) As you arc aware, Michaehs-Swenson Partners, the Owner and Developer of the HomeBase, Everett, Washington project is required by the City of Everett to execute a Hold Harmless Agreement with the City of Everett relating to the site grading, filling and construction of the storm water detention facilities required for the HomeBase project. As discussed with you today and to confirm our understanding with you, HomeBase, Inc. is not a party to the Hold Harmless Agreement and has no liability with the design and construction of the filling of the on site wetland and the design and construction of the storm water system as well as any downstream disturbances and damage associated herewith. The only obligation HomeBase has relating to this project is the maintenance of the on site and off site storm detention facilities and off site wetland mitigation area as to the extent set forth in our Lease with Michaelis -Swenson Partners, when HomeBase opens for business. Please be advised that Michaelis -Swenson Partners is not authorized to take any actions or reach any agreements that are binding on HomeBase, Inc. and Michaelis -Swenson Partners is not in any way an agent or representative and have no authority to act on HomeBase, Inc.'s behalf.
