5 <br /> Section 2. TERM OF AGREEMENT <br /> a) Effective Date. This Agreement shall become effective on January 1, 2009. <br /> Unless terminated as provided herein, this Agreement shall remain in effect for five (5) <br /> years. <br /> b) Termination. Any Party for its convenience, and without cause or for any <br /> reason whatsoever, may withdraw from participation in this Agreement by providing <br /> written notice of termination, sent certified mail, return receipt requested, to all of the <br /> other Parties at least ninety(90) days in advance of the effective date of the withdrawal; <br /> c) Withdrawal of a Party. Upon notification of withdrawal by any Party, the <br /> other Parties shall meet and confer to identify modifications or amendments that may be <br /> necessary or appropriate because of the withdrawal of that Party, and to prepare <br /> recommendations to adopt the same. <br /> Section 3. INTERSYSTEM TRANSFER POLICY <br /> The Parties agree to allow registered customers making scheduled intersystem <br /> paratransit to paratransit transfers to pay their fare on their "home agency" service only. <br /> "Home agency" is defined as the transit agency for which they were determined eligible <br /> for Americans with Disabilities Act (ADA) complementary paratransit service. For <br /> customers who were determined eligible by more than one agency, the "home agency" is <br /> the agency which initiates the scheduling of the trip. Parties which are not the customer's <br /> "home agency" will provide free transfers. <br /> Section 4. RESPONSIBILITIES OF THE PARTIES <br /> The Parties shall undertake any and all other necessary and appropriate actions <br /> required to implement this Agreement as determined jointly by the Parties. <br /> Section 5. DISPUTE RESOLUTION <br /> In the event of any dispute concerning any section of this Agreement or upon the <br /> request of any Party, the General Managers, Chief/Corporate Executive Officers—or <br /> similar person- of the Parties will confer to resolve the dispute. In the event the Parties <br /> are unable to resolve the dispute, the Parties may submit the matter to a mutually agreed <br /> upon, non-binding mediator who will recommend a resolution within 90 days. The cost <br /> of such mediation shall be equally divided between those parties who are subject to the <br /> dispute. Such mediation shall be required before an action may be filed to adjudicate the <br /> dispute in a court of law. <br /> k.15 <br /> 2 <br />
