ty <br /> { <br /> LEASE RENWAL AMENDMENT No. 1 <br /> This Amendment is executed this day of 200_,by and <br /> among City of Everett, a Washington State municipal corporation, "Landlord", and Level 3 <br /> Communications, LLC, "Tenant". <br /> RECITALS <br /> Whereas the Landlord's predecessor in interest, GTE Northwest Incorporated, a <br /> Washington Corporation,by that certain Amended and Restated Office Building Lease, <br /> "Lease", leased to Tenant's predecessor in interest, GTE Global Networks Incorporated, <br /> a Delaware Corporation, certain real property located in Everett,Washington which <br /> premises address is 1121 SE Everett Mall Way, Everett, Washington; and <br /> Whereas the Tenant and Landlord acknowledge that the Tenant did not give <br /> Landlord timely notice under the terms of the Lease to exercise the first option term of <br /> the Lease; and <br /> Whereas the Tenant is currently in possession of the premises in accordance with <br /> section 17 "Holding Over" of the Lease; and <br /> Whereas the Tenant and Landlord hereby express their mutual desire to renew the <br /> Lease and to amend,by this writing, those terms,covenants and conditions contained <br /> herein and agree that all terms and conditions of the Lease not expressly amended by this <br /> writing shall continue in full force and effect throughout the renewal term; <br /> NOW,THEREFORE, for good and valuable consideration,the receipt and sufficiency of <br /> which is hereby acknowledged, it is hereby agreed as follows: <br /> 1. Renewal Term Commencement: The renewal term shall be for a period of five <br /> years commencing January 1St, 2009 and expiring on December 31st, 2014. <br /> 2. Base Rent: Base Rent shall be equal to the Base Rent during Tenant's last month of <br /> the initial term(August 2008) increased by the Consumer Price Index per Section 5.2 <br /> of the Lease document. Base Rent shall continue to increase annually based on the <br /> Consumer Price Index per Section 5.2 of the Lease document. <br /> 3. Option to Renew: Tenant's existing future Extension Options per Exhibit D of the <br /> Lease shall remain in effect. <br /> 4. Operating Expenses and/or Real Estate Taxes: Operating expenses and/or Real <br /> Estate taxes are included in Base Rent. The base year shall be adjusted to 2009. <br /> Vic) <br /> 2 <br />
