0 <br />AMENDMENT NO.1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br />THE CITY OF EVERETT <br />. AND <br />FAIRWEATHER FORESTRY <br />The City and Fairweather Forestry agree to amend and modify their professional services <br />agreement dated June 28, 2012 (the "Agreement') as follows: <br />WHEREAS, Fairweather Forestry entered into an Agreement dated June 28h, 2012 to provide <br />forest management and consultant services for the City; and <br />WHEREAS, work is not yet complete on development of two Forestry Management agreements <br />(the Federal Safe Harbor agreement and State Cooperative Habitat Enhancement agreement) for <br />which Fairweather Forestry has provided consultation services; and <br />WHEREAS, the Agreement is likely to expire prior to completion of the Forestry Management <br />agreements and the parties expect the work to be completed by Oct 31, 2015; and <br />WHEREAS, the only task remaining incomplete in the Scope of Work is the development of the <br />Forestry Management agreements; and <br />WHEREAS, the City and Fairweather Forestry agree to amend the Agreement to extend the time <br />for completion from June 30, 2015 to October 31, 2015 exclusively to complete the remaining <br />incomplete task; <br />NOW THEREFORE, the City of Everett and Fairweather Forestry agree to amend and modify <br />the Agreement as follows: <br />Paragraph 3 of the Agreement is amended to read as follows: <br />3. Time of Beginning and Completion of Performance. This Agreement shall <br />commence as of the date of execution of this Agreement and shall be completed by <br />October 31, 2015. <br />2. The effective date of this Amendment is July 1, 2015. <br />3.
