Amendment Eight to Regional Pass <br />and Fare Reconciliation Program Agreement <br />THIS AMENDMENT is entered into this 31 st day of December, 2008, by and <br />between the CENTRAL PUGET SOUND REGIONAL TRANSIT AUTHORITY <br />("Sound Transit"); the CITY OF EVERETT ("Everett Transit"); KING COUNTY ("King <br />County Metro'); PIERCE COUNTY PUBLIC TRANSPORTATION BENEFIT AREA <br />CORPORATION ("Pierce Transit"); and SNOHOMISH COUNTY PUBLIC <br />TRANSPORTATION BENEFIT AREA CORPORATION ("Community Transit") each <br />of which is herein referred to individually as a "Party" or collectively as "Parties." <br />WHEREAS, the Parties executed the Regional Pass and Fare Reconciliation Program <br />Agreement on January 1, 2002, which implemented regional transfer acceptance and <br />reconciliation policies in furtherance of the goal of providing customers ease of access to <br />all transit services in the Puget Sound Region; and <br />WHEREAS, the Agreement had an expiration date of December 31, 2004, but it also <br />allowed the Parties to extend the Agreement for three additional one-year periods with <br />the prior written consent of the General Managers of the Parties; and <br />WHEREAS, the Parties agreed to amend the Agreement to increase the total number of <br />additional one-year periods from three to six; and <br />WHEREAS, the Parties desire to exercise their right to extend the Agreement through <br />this Amendment Eight; and <br />WHEREAS, the Parties intend that this extension will be on an interim basis as set forth <br />below until a Replacement Agreement or program is approved by the Parties. <br />NOW, THEREFORE, in consideration of the mutual covenants contained herein, the <br />sufficiency of which is hereby acknowledged, the Parties hereby agree to extend the <br />above -referenced Agreement according to the following terms and conditions: <br />AMENDMENT TERMS AND CONDITIONS <br />The above paragraphs of this Amendment are incorporated by reference herein. <br />I. AGREEMENT EXTENSION <br />The Parties hereby agree to a one-year extension of the Agreement, as provided in <br />Section 2 of the Agreement. <br />II.
