t"', <br /> ,,.-;:_ :-.V1P-4... , Ai':..,;-',.2 <br /> AGREEMENT BETWEEN CITY OF EVERETT <br /> AND PROVIDENCE EVERETT MEDICAL CENTER <br /> Regarding STOP Grant#F08-31103-075 <br /> WHEREAS, the City of Everett, along with the Snohomish County Prosecuting <br /> Attorney's Office, Domestic Violence Services of Snohomish County, and Providence <br /> Everett Medical Center, applied for and was awarded renewal of STOP Grant funds from <br /> the U.S. Department of Justice, through the State of Washington Department of <br /> Community, Trade and Economic Development; and <br /> WHEREAS, the City of Everett is the lead agency for purposes of administering the <br /> funds awarded to this community; and <br /> WHEREAS, the STOP Grant funding will provide an ongoing opportunity for the <br /> City of Everett and Providence Everett Medical Center to promote awareness of domestic <br /> violence, increase responsiveness, support victims and work toward holding offenders <br /> accountable; <br /> NOW, THEREFORE, the parties agree as follows: <br /> 1. Parties. This Agreement is made by and between the CITY OF EVERETT, a <br /> municipal corporation ("City"), and Providence Everett Medical Center, a non- <br /> profit corporation ("Contractor"). <br /> 2. Purpose. The purpose of this Agreement is to define responsibilities and <br /> obligations of the parties relating to use of STOP Grant funds. <br /> 3. Term. This Agreement shall commence upon execution of the parties and <br /> shall be effective from October 1, 2008, through September 30, 2009, unless <br /> earlier terminated as provided herein. This Agreement is renewable for up to <br /> four additional one-year terms upon mutual written agreement of the parties. <br /> 4. Termination. Either party may terminate this Agreement upon 30 days' written <br /> notification to the other party. If this Agreement is so terminated, the parties <br /> shall be liable only for performance rendered or costs incurred in accordance <br /> with the terms of this Agreement prior to the effective date of termination. If for <br /> any cause, either party does not fulfill in a timely and proper manner its <br /> obligations under this Agreement, or if either party violates any of these terms <br /> and conditions, the aggrieved party will give the other party written notice of <br /> such failure or violation. The responsible party will be given the opportunity to <br /> correct the violation or failure within 15 working days.
