3 <br /> ROOM USE AGREEMENT <br /> This Room Use Agreement (this "Agreement') is entered into as of August <br /> 2009, by and between the City of Everett, a Washington municipal corporation (the <br /> "City") and Washington State Transit Insurance Pool, a Washington Municipal <br /> Corporation, Chapter 48.62 RCW ("WSTIP"). <br /> RECITALS <br /> A. The City owns and operates Everett Station, which is located at 3201 <br /> Smith Avenue in Everett (the "Everett Station"). <br /> B. WSTIP desires to use Room 215 in Everett Station ("Room 215') for <br /> training and other meetings on an ongoing basis. <br /> C. WSTIP agrees to furnish and equip Room 215, with WSTIP receiving credit <br /> for WSTIP's cost in equipping Room 215. <br /> D. The City agrees that WSTIP has the right to use Room 215 according to the <br /> terms of this Agreement. Everett Station may schedule other uses of Room 215 for times <br /> that WSTIP is not scheduled to use Room 215. <br /> E. The City and WSTIP mutually benefit from this Agreement, which will <br /> provide WSTIP with a space for training and other meetings and provide the City with a <br /> space at Everett Station equipped for similar uses by other persons. <br /> F. Is the intent of the parties that this Agreement will automatically renew from <br /> year to year as long as the parties desire. <br /> AGREEMENT <br /> For good and valuable consideration, the receipt and sufficiency of which is <br /> acknowledged, the parties agree as follows: <br /> ARTICLE 1: WSTIP EQUIPMENT <br /> WSTIP shall provide equipment and furniture for Room 215, including chairs, tables, <br /> and other items (all such equipment and furniture, "WSTIP Equipment"). The total value <br /> of all WSTIP Equipment must be at least five thousand dollars ($5000). WSTIP shall <br /> not remove the WSTIP Equipment from Room 215 until the expiration or termination of <br /> this Agreement. In the event of expiration or termination of this Agreement, WSTIP <br /> shall remove the WSTIP Equipment from Room 215 and Everett Station. <br /> ARTICLE 2: USE OF ROOM 215 <br /> WSTIP may use Room 215 up to a maximum of twenty (20) calendar days during each <br /> calendar year. Such use may not begin until'after all of the WSTIP Equipment is <br /> installed in Room 215. <br /> If WSTIP desires to use Room 215, WSTIP shall submit a written reservation request to <br /> the City Parks and Recreation Office, at the address listed in the attached Exhibit A, <br /> stating the date and time that WSTIP desires to use Room 215. If this reservation <br /> request is delivered to the City at least ninety (90) days before the requested date, then <br /> Paie21 <br />
