the City shall make Room 215 available to WSTIP on the requested date. If the written <br /> reservation request is delivered to the City less than ninety (90) days before the <br /> requested date, then the City shall use reasonable efforts to make Room 215 available <br /> to WSTIP on the requested date. <br /> If Room 215 or any other part of the Everett Station is damaged by WSTIP, WSTIP shall <br /> pay to the City the cost of repairing the damage. <br /> WSTIP shall not make any permanent alterations or improvements to Room 215 or any <br /> other part of the Everett Station without the prior written consent of the City, which <br /> consent may be withheld at the City's sole discretion. <br /> ARTICLE 3: CITY USE OF ROOM 215 <br /> The City may use Room 215 and the WSTIP Equipment at any time that WSTIP is not <br /> using Room 215. This City use includes renting Room 215 to persons other than <br /> WSTIP, and such persons may use the WSTIP Equipment. <br /> If the WSTIP Equipment is damaged by the City or any person renting Room 215 from <br /> the City, then the City shall repair the damage. <br /> ARTICLE 4: TERM OF AGREEMENT <br /> This Agreement is effective as of the date first written above. Commencing on January <br /> 1, 2010, this Agreement automatically renews on January 1st of each year without <br /> further action by the parties, unless either party delivers to the other party a written <br /> notice of nonrenewal no later than sixty (60) days before the end of a calendar year. If <br /> a party delivers such a written notice, then this Agreement will expire at the end of such <br /> calendar year. If neither party delivers such a written notice, then this Agreement is <br /> binding on the parties for the succeeding calendar year. <br /> ARTICLE 5: FEES <br /> The parties agree that WSTIP shall pay the market rent for Room 215. As of the date of <br /> this Agreement, the market rent is $50.00 per hour for uses on Monday through <br /> Thursday and $75.00 per hour for uses on Friday through Sunday. If WSTIP rents <br /> Room 215 for three or more consecutive days it will pay $50.00 per hour regardless of <br /> the day of use. The parties agree that this market rent may change with time. <br /> WSTIP will receive credit towards payment of rent for Room 215 in an amount equal to <br /> the cost of the WSTIP Equipment, on the condition that WSTIP provides to the City <br /> receipts or other documentation acceptable to the City evidencing the cost of the <br /> WSTIP Equipment. After such credit is exhausted, WSTIP shall begin directly paying <br /> market rent to the City. If during the term of this Agreement WSTIP upgrades or <br /> replaces the WSTIP equipment, WSTIP will also receive credit towards payment of rent <br /> for Room 215 in an amount equal to the cost of such upgrades or replacements, on the <br /> condition that WSTIP provides to the City receipts or other documentation acceptable to <br /> the City evidencing the cost of the upgrades or replacements. <br /> ARTICLE 6: CLEAN-UP AND USE RULES <br /> The City shall provide free-of-charge janitorial and maintenance services to Room 215 <br /> in the same manner as it provides janitorial and maintenance services to other rooms in <br /> NO 2 <br />
