C <br /> AMENDMENT NO. 2 <br /> TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND <br /> PERTEET, INC. <br /> WHEREAS, the City of Everett (the "City") and Perteet, Inc. ("Perteet") are parties to the Professional <br /> Services Agreement dated February 11, 2009, as amended by Amendment No. 1 (the "Agreement"); and <br /> WHEREAS, under the Agreement Perteet shall provide final design, engineering services, and <br /> construction management related to the Swift BRT Northern Terminal at Everett Station; and <br /> WHEREAS, the City and Perteet have determined that the Scope of Work and the compensation under <br /> the Agreement need to be adjusted; <br /> Now, therefore, the City and Perteet hereby agree as follows: <br /> 1. Section 4D of the Agreement is deleted and replaced with the following: <br /> Total compensation, including all services and expenses, shall not exceed a maximum of <br /> eight hundred thirteen thousand seven hundred and seven and 49/100 dollars <br /> ($813,707.49). <br /> 2. The Work described in the attached Supplement No. 1 is added to Exhibit A—Scope of Work <br /> of the Agreement. <br /> 3. Exhibits B and C of the Agreement are amended so that the maximum total compensation <br /> under the Agreement is eight hundred thirteen thousand seven hundred and seven and 49/100 <br /> dollars ($813,707.49). <br /> 4.
