3 <br />AMENDMENT NO.3 <br />PROFESSIONAL SERVICES AGREEMENT <br />BETWEEN <br />THE CITY OF EVERETT AND FLOYD AND SNIDER, INC. <br />The City of Everett ("City") and Floyd and Snider, Inc. (Floyd and Snider) enter into this <br />Amendment No. 3 as of July _, 2010. <br />WHEREAS, Floyd and Snider entered into the professional services agreement dated April 24, <br />2006 with the City, to perform professional on-call engineering, environmental, and other <br />consulting services which has been amended by Amendment No. 1 and Amendment No. 2 (as <br />amended, the "Agreement:"); and <br />WHEREAS, Floyd and Snider completed the work scope to -date and has coordinated the City's <br />Riverfront's projects for compliance with the Department of Ecology, and the City requests <br />further assistance from Floyd and Snider to coordinate additional Riverfront projects; and <br />WHEREAS, the Agreement currently states that the Agreement shall be completed as of <br />December 31, 2009; and <br />WHEREAS, the City and Floyd and Snider Corporation agree to amend the Agreement to extend <br />the time for completion from December 31, 2009 to December 31, 2011; and <br />NOW THEREFORE, the City and Floyd and Snider agree to amend and modify the Agreement <br />as follows: <br />A. Paragraph 3 of the Agreement is amended to read as follows: <br />3. Time of Beginning and Completion of Performance. This Agreement shall <br />commence as of the date of execution of this Agreement and shall be completed by <br />December 31, 2011. <br />B. Regardless of the dates on which this Amendment No. 3 is signed by the parties, the <br />parties agree that the Agreement did not expire on December 31, 2009. The parties <br />agree that the Agreement has been continuously in effect since April 24, 2006. <br />C. Paragraph 4 of the Agreement is amended to read as follows: <br />B. The Service Provider shall be paid such amounts and in such manner as described <br />in the attached revised Exhibits B and C. <br />D.
