AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND OAC SERVICES, INC. The City and OAC Services, Inc. agree to amend and modify their professional services agreement dated June 16, 2010 (the "Agreement") as follows: WHEREAS, OAC Services, Inc. entered into an Agreement dated June 16, 2010 to provide Project and Construction Management Services associated with the Municipal Court Project; and WHEREAS, additional work is required during the programming and design phases of the project; and WHEREAS,the total amount of compensation stated in the Agreement is likely insufficient for the remainder of the programming and design phase and an additional $100,000.00 of contract value is needed to complete those phases; and WHEREAS,the City of Everett desires continued assistance from OAC Services, Inc. for such services on this project; and WHEREAS, the City and OAC Services, Inc. agree to amend their Agreement to: increase the maximum compensation by an additional $100,000 from the current contract level of$45,000 to $145,000; NOW THEREFORE, the City of Everett and OAS Services, Inc. agree to amend and modify the previously amended Agreement as follows: 1. The following work is added to the Scope of Work described in Exhibit A of the Agreement: Exhibit A-1 attached 2. Paragraph 4(D) is modified to read as follows: Total compensation, including all services and expenses, shall not exceed a maximum of One Hundred and Forty Five Thousand Dollars ($145,000). 3. The effective date of this Amendment is October 30, 2010. 4.
