AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE <br /> CITY OF EVERETT AND <br /> J. BOZEAT &ASSOCIATES,LLC <br /> WHEREAS,J.Bozeat&Associates, LLC and the City entered into an Agreement dated January <br /> 27, 2009 ("Agreement") to provide consulting services related to valves and actuators located at <br /> the Water Filtration Plant; and <br /> WHEREAS,work is not yet complete on the Valve and Actuator replacement and repair projects <br /> for which J. Bozeat&Associates,LLC is providing consulting services; and <br /> WHEREAS,the Agreement as written is likely to expire prior to completion of those projects <br /> and the parties expect the work to be completed by January 31, 2012; and <br /> WHEREAS,the total amount of compensation stated in the Agreement as written will not <br /> change; <br /> WHEREAS,the City of Everett desires continued assistance from J.Bozeat &Associates,LLC <br /> for such services on those projects; and <br /> WHEREAS,the City and J.Bozeat&Associates,LLC agree to amend their Agreement to: (a) <br /> extend the time for completion from December 31,2010 to January 31,2012 and; <br /> NOW THEREFORE, the City of Everett and ABC Engineering, Incorporated agree to amend <br /> and modify the previously amended Agreement as follows: <br /> A. Paragraph 3 of the Agreement is amended to read as follows: <br /> 3. Time of Beginning and Completion of Performance. This Agreement shall <br /> commence as of the date of execution of this Agreement and shall be completed <br /> by January 31, 2012. <br /> B. All terms, conditions and provisions of the original Agreement remain in full force and <br /> effect, except as expressly modified by this Amendment. <br /> Page 1 of 2 <br />
