6 AMENDMENT NO. 1 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND • CAROLLO ENGINEERS The City and Carollo Engineers agree to amend and modify their professional services agreement dated February 23, 2010 (the"Agreement") as follows: WHEREAS, Carollo Engineering and the City entered into an Agreement dated February 23, 2010 ("Agreement")to design the WPCF Phase B-1' and B-2 Expansion projects by providing plans, specifications, and construction support; and WHEREAS, work is not yet complete on the WPCF Expansion projects for which Carollo Engineers has provided design and construction services and additional services are necessary to complete the project; and WHEREAS,the Agreement is likely to expire prior to completion of those projects and the parties expect work to be completed by September 30, 2012; and WHEREAS,the total amount of compensation stated in the Agreement is insufficient to complete the additional scope of services and additional $493,108 of contract value is needed to complete the projects; and . WHEREAS, the City of Everett desires continued assistance from Carollo Engineers for such services on those projects; and WHEREAS, the City and Carollo Engineers agree to amend their Agreement to: (a) amend the Scope of Work, (b) extend the time for completion from March 30, 2012 to September 30, 2012, and(c) increase the maximum compensation by an additional$493,108 fromthe current contract level of$753,301 to $1,246,409; NOW THEREFORE, the City of Everett and Carollo Engineers agree to amend and modify the previously amended Agreement as follows: 1. The work included in Exhibit A-1 of this amendment is added to the Scope of Work described in Exhibit A of the Agreement. 2. Paragraph 3 is modified to read as follows: 3. Time of Beginning and Completion of Performance. This Agreement shall commence as of the date of execution of this Agreement and shall be completed by September 30, 2012. 26
