19 <br /> 5.1,3.2 Parking Use Survey <br /> The Parties shall conduct a use survey in 2011 to determine which services parking <br /> customers are using at Everett Station. The Parties shall agree on the survey <br /> methodology. The Parties shall use this survey to determine the proportionate share of <br /> the costs for Everett Station in 2011 and will be used in the development of future <br /> operations and maintenance agreements. Contracted costs of conducting this survey <br /> will be shared equally. This survey will be completed by June 30, 2011. <br /> 5.1.4 Third Party Use <br /> The City shall be responsible for approving the use of Everett Station for third party use, <br /> provided that no third party use shall decrease or adversely impact Sound Transit's customer <br /> parking. The City shall not grant permission for any third party use that decreases or <br /> adversely impacts Sound Transit's customer parking without first conferring with Sound <br /> Transit regarding any potential impacts on Sound Transit's operations and obtaining Sound <br /> Transit's approval or disapproval of such proposed use. After consultation with Sound <br /> Transit, the City may agree to allow a third party use upon conditions that may include the <br /> provision of a general liability insurance policy naming Sound Transit as an additional <br /> insured. The City shall also require third party users to agree to protect, defend, indemnify, <br /> and save harmless Sound Transit, its officers, officials, employees, and agents from any and <br /> all costs, claims, judgment, and/or awards of damages, arising out of, or in any way resulting <br /> from the City's grant of permission for third party use of the Everett Station facilities. Sound <br /> Transit shall not be liable for any increases in maintenance and operations costs due to third <br /> party use. <br /> 5.1.5 Bus Bay Assignments <br /> The Parties have agreed on the initial bus bay assignments, specified in Exhibit B effective <br /> April 4, 2002. Except for emergencies, any subsequent changes or revisions by the City to <br /> bay assignments shall be coordinated with routine service changes and shall not be made <br /> without Sound Transit's written consent, which consent shall not be unreasonably withheld. <br /> Exhibit B will be updated as changes occur by the Designated Representatives. <br /> 5.1.6 Signage Hardware <br /> The City shall provide post-mounted schedule holders to Sound Transit to be installed on the <br /> bus platform when Everett Transit and/or other transit providers are prepared to introduce <br /> the program at a regular service change. The City and/or other parties will coordinate the <br /> update of changeable information and the required replacement of the schedule holders. <br /> Refer to Exhibit D. <br /> 5.1.7 Changeable Information <br /> The City shall produce the changeable information to be placed in the signage hardware <br /> displays according to standards specified in Exhibit D on the bus and rail platforms. The <br /> City and/or other parties shall install all changeable information. In addition, the City will <br /> install the Everett Station area maps, the Sound Transit system maps and Sounder <br /> schedules produced and provided by Sound Transit as part of the service change process <br /> and as required between service changes due to minor schedule revisions or damaged <br /> signage.
