12 <br /> AMENDMENT NO. 5 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br /> THE CITY OF EVERETT <br /> AND <br /> MACLEOD RECKORD <br /> The City and MacLeod Reckord, agree to amend and modify their professional services <br /> agreement to provide general engineering and management consulting services for the Riverfront <br /> Development project entitled"Public Amenities and Wetland Enhancements dated 23 July, 2007 <br /> (the"Agreement") as follows: <br /> 1. Section 3, Time of beginning and Completion of Performance, is modified to read as <br /> follows: <br /> This agreement shall commence as of the date of execution of this Agreement and <br /> shall be completed by March 31,2012 <br /> 2. Section 4, Compensation, is modified to read as follows: <br /> D. Total compensation, including all services and expenses, shall not exceed a <br /> maximum of Three Million One Hundred Fifty One Thousand One Hundred <br /> Ninety One Dollars ($ 3,151,191.00) <br /> 3. Exhibit A and Exhibit B, are modified by the inclusion of the attached Exhibit A- <br /> Scope of Work—Amendment No. 5 and Exhibit E-1(a)—Consultant Fee Determination— <br /> Amendment No. 5. <br /> 4.
