12 <br /> AMENDMENT NO.3 TSO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br /> I THE CITY OF EVERETT <br /> AND <br /> URS CORPORATION <br /> The City and URS Corporation agree to amend and modify their professional services agreement <br /> dated August 7,2006(the"Agreement")as follows: <br /> WHEREAS,URS and the City entered into an Agreement dated August 7,2006("Agreement") <br /> to provide design and construction support services the for the 5 Line Replacement at the <br /> Pilchuck River using Horizontal Directional Drilling methods; <br /> WHEREAS, the parties ame ded the Agreement on December 28,2007 to provide design and <br /> construction support service for the for the 5 Line Replacement at the Pilchuck River by an <br /> overhead structure that increased total compensation and extended time for completion to <br /> December 31, 2010; and <br /> WHEREAS, the parties again amended the Agreement on July 9,2008 to provide engineering <br /> support services to prepare construction documents for an open-cut trench method for the 5 Line <br /> Replacement at the Pilchuck Iver that increased total compensation and extended time for <br /> completion to December 31, 011; and <br /> WHEREAS,work is not yetomplete on the 5 Line Replacement at the Pilchuck River for <br /> which URS corporation is providing design support services; and <br /> WHEREAS, the Agreement is likely to expire prior to completion of the project and the parties <br /> expect the work to be completed by December 31,2012; and <br /> WHEREAS, the total amount of compensation stated in the Agreement as amended is likely <br /> insufficient for the remaindei-of the project and an additional$97,900 of contract value is <br /> needed to complete this project; and <br /> WHEREAS, the parties agreI to amend their Agreement to: (a)modify the scope of services, <br /> (b) extend the time for comp etion from December 31, 2011 to December 31,2012, and(c) <br /> increase the maximum comp nation by an additional$97,900 to $719,900. <br /> NOW THEREFORE, the Ci of Everett and URS Corporation agree to amend and modify the <br /> previously amended Agreem nt as follows: <br /> All provisions in the Agree ent shall remain in effect except as expressly modified by <br /> this amendment. The changes to the Agreement are described as follows: <br /> A. Amend the previous (Exhibit A, Scope of Work,by adding: "Exhibit A-3 ". <br /> B. Amend the previous Exhibit B, Compensation,by adding "Exhibit B-3"which includes <br /> an estimated Project ost Summary by task for the additional engineering services. <br /> C.
