_1 i <br /> implementation of the ORCA system, provision of a visitor pass could be explored and <br /> tested. <br /> 18.5 Transit Service Planning. For the duration of this Agreement, the Participating Agencies <br /> will consult with the University in the planning of future transit services affecting the <br /> University of Washington campuses and Harborview Medical Center to the extent <br /> feasible. Planning efforts will include exploring strategies to best match transit capacity to <br /> demand on routes serving the University's sites, and planning of redeployable hours as <br /> may be made available from the implementation of Sound Transit services in the areas <br /> around University worksites. <br /> 18.6 Collaboration. In consideration of the University's commitment to develop and expand the <br /> use of alternative modes of transportation among the University's population, the <br /> Participating Agencies may pursue opportunities with the University to improve <br /> customers' experiences of transit to the University's sites. These opportunities may <br /> include financial contributions to collaboratively designed transit facility improvements, <br /> service increases, cost-sharing on promotional efforts, and other special efforts to be <br /> mutually agreed upon by the University and the Participating Agencies. <br /> 18.7 ORCA/University Working Group. To facilitate the implementation of the ORCA Project at <br /> University locations, an ORCA/University Working Group has been established. This <br /> group includes representatives from the appropriate Participating Agencies and <br /> University departments dealing with ORCA Project transition issues. <br /> Issues addressed by the ORCA/University Working Group will include, but shall not be <br /> limited to: <br /> a) Data reporting and system integration requirements; <br /> b) Development of software modifications to address operational issues; <br /> c) Hardware and software, e.g., Terminal Revalue Units; <br /> d) Transit product and pricing; <br /> e) Documentation of ORCA operations and responsibilities <br /> f) Inclusion of other transportation benefits; and <br /> g) Planning for renewal of Passport products. <br /> 19.0 TERMINATION <br /> 19.1 Termination for Default. The Parties may terminate this Agreement for default in the <br /> event any other Party fails to perform a material obligation under this Agreement. <br /> Termination shall be effected by serving a Notice of Termination by certified mail, return <br /> receipt requested, on the other Parties setting forth the manner in which a Party is in <br /> default and the effective date of termination, which shall not be less than fourteen (14) <br /> calendar days after the date of the notice; provided, however, such termination shall not <br /> take effect if the default has been cured within seven (7) calendar days after the date of <br /> the notice of termination. In the event of such a termination, the Lead Agency may <br /> immediately terminate the University's and/or College's access privileges to the ORCA <br /> Business Account Website, implement Card Blocks and Product Blocks, remove the <br /> University's and/or College's account from the ORCA Whitelist, and decline to accept <br /> and fulfill any pending or new orders from the University and/or College. <br /> 19.2 Termination/Withdrawal for Non-Appropriation. This Agreement may be terminated by <br /> any Party, if sufficient funds have not been appropriated to cover performance of said <br /> Party's responsibilities under the Agreement. In the event of such a termination, the <br /> Lead Agency may immediately terminate the University's and/or College's access <br /> U-PASS Agreement 6 2 Page 17 of 44 Final, October 2011 <br />
