"7 <br /> AMENDMENT NO. 2 TO PROFESSIONAL SERVICES AGREEMENT BETWEEN <br /> THE CITY OF EVERETT <br /> AND <br /> STRATEGY SOFTWARE,INC. <br /> The City and Strategy Software, Inc. agree to amend and modify their professional services <br /> agreement dated January 1,2010 (the"Agreement") as follows: <br /> WHEREAS,the City and Strategy Software, Inc. entered into a Professional Services Agreement <br /> dated January 1, 2010; and <br /> WHEREAS, Strategy Software, Inc. has satisfactorily performed the services outlined in the <br /> Agreement; and <br /> WHEREAS, Amendment No. 1 to the Agreement extended services from January 1, 2011 to <br /> December 31, 2011; and <br /> WHEREAS, Strategy Software, Inc.has proposed to continue services from January 1, 2012 to <br /> December 31, 2012; and <br /> WHEREAS,the City is willing to accept this proposal; <br /> NOW THEREFORE,the City of Everett and Strategy Software, Inc. agree to amend and modify the <br /> Agreement as follows: <br /> 1. Paragraph 3 is modified to read as follows: <br /> This Agreement shall commence on January 1,2012 and shall be completed on <br /> December 31, 2012. <br /> 2.
