CERTIFICATE OF EXECUTION <br /> This is one of the Certificates of Participation in the Lease <br /> Payments due under the Lease described herein, and is properly <br /> registered and executed pursuant to the Trust Agreement. <br /> Date of Execution: <br /> as Trustee <br /> By <br /> Authorized Signatory <br /> ADDITIONAL PROVISIONS <br /> This Certificate and other Certificates of this issue of like <br /> date and tenor, except as to interest rate and date of maturity, <br /> represent undivided, proportionate interests in the Lease Payments <br /> due from the City under the Lease and are issued in the aggregate <br /> principal amount of $ , pursuant to the terms of the <br /> Trust Agreement. <br /> This Certificate has been executed by the Trustee. All right, <br /> title (if any) and interest of the Lessor under the Lease (except <br /> for express and implied warranties) have been assigned to the <br /> Trustee pursuant to the terms of the Trust Agreement. The <br /> assignment is without recourse, and neither the Trustee nor the <br /> Registered Owner of this Certificate has rights against the Lessor <br /> in the event of nonpayment hereunder or under the Lease. <br /> The Trustee has no obligation or liability to the Certificate <br /> Owners for the payment of principal or interest components of the <br /> Lease Payments represented by the Certificates or on the underlying <br /> Lease. In the event of default by the City in the payment of <br /> principal or interest under the Lease, the Registered Owner of this <br /> Certificate has no recourse against the Trustee for such principal <br /> or interest. The Trustee's liability to the Registered Owner <br /> hereof shall consist of the duty to remit to the Registered Owner <br /> his or her pro rata share of the Lease Payments on the Lease, when, <br /> as and if collected from the City pursuant to the Lease. The <br /> Trustee's only obligations are to hold the Lease, the Ground Lease, <br /> and title to the Improvements for the benefit of the owners of the <br /> Certificates, and to administer for the benefit of the Certificate <br /> Owners the various funds and accounts established in the Trust <br /> Agreement. <br /> Copies of the Trust Agreement, Lease, Ground Lease, and <br /> Assignment are on file at the principal offices of the Trustee and <br /> -28- D0T437 91/09/24 <br />
