Section 11. 07. Counterparts. This Agreement may be executed <br /> in any number of counterparts, each of which when so executed and <br /> delivered shall be an original ; but such counterparts shall <br /> together constitute but one and the same instrument. <br /> Section 11. 08. Title and Security Documents. The Underwriter <br /> shall cause this Agreement and title documents and/or a financing <br /> statement relating thereto under the Uniform Commercial Code of the <br /> State of Washington to be filed, as may be required by law fully <br /> to protect the right, title (if any) and interest of the Trustee <br /> in the Lease and in title to the Improvements held pursuant to this <br /> Agreement. The Underwriter, Lessor and the City shall upon the <br /> request of the Trustee, execute or cause to be executed any and <br /> all further instruments as may be required by law or as shall <br /> reasonably be requested by the Trustee for such protection of the <br /> interests of the Trustee and the Owners, and at the request of the <br /> Trustee shall furnish satisfactory evidence to the Trustee of <br /> filing and refiling of such instruments and of every additional <br /> instrument which shall be necessary to preserve the lien of this <br /> Agreement upon the rights and interests assigned to the Trustee <br /> under this Agreement until the principal, or prepayment price of, <br /> and interest on the Lease Payments represented by the Certificates <br /> issued hereunder shall have been paid. The Trustee shall execute <br /> or join in the filing thereof at such time or times and in such <br /> place or places as it may be advised by an opinion of Counsel will <br /> preserve the lien of this Agreement upon the rights and interests <br /> assigned to the Trustee under this Agreement until the aforesaid <br /> principal shall have been paid. <br /> Section 11. 09 . Information Under Commercial Code. The <br /> following information is stated in order to facilitate filings <br /> under the Uniform Commercial Code: <br /> The title holder (or secured party, if applicable) <br /> is Security Pacific Bank Washington, N.A. , Trustee. Its <br /> address from which information concerning the security <br /> interest may be obtained is 1301 Fifth Avenue, 15th <br /> Floor, Seattle, WA 98101, Attention: Corporate Trust <br /> Department. The debtor is the City of Everett, <br /> Washington. Its mailing address is 3002 Wetmore, <br /> Everett, Washington 98201. <br /> Section 11. 10. Payments Due on Saturdays, Sundays and Holi- <br /> days. In any case where the date of maturity of interest on or <br /> principal of the Lease Payments represented by the Certificates or <br /> the date fixed for prepayment of any or all of the Lease Payments <br /> represented by the Certificates shall be a Saturday, Sunday or date <br /> which banks are authorized to remain closed, then payment of <br /> interest or principal or prepayment price need not be made on such <br /> date but may be made on the next succeeding business day with the <br /> -32- D0T437 91/09/24 <br />
