St <br /> I li <br /> AMENDMENT NO. 1 <br /> TO <br /> PROFESSIONAL SERVICES AGREEMENT <br /> WITH <br /> GEOENGINEERS,INC. <br /> This Amendment, entered into the_day of December,2012, constitutes <br /> Amendment No. 1 to the"Agreement"between the City of Everett(the"City")and <br /> GeoEngineers,Inc. ("Consultant") dated August 29,2012. <br /> WHEREAS, Section 8.0 of the Agreement provides for adjustment or modification of the <br /> Agreement; and <br /> WHEREAS,The City entered into a professional services agreement with the Consultant <br /> to provide on-call geotechnical consultation services for the parks and recreation <br /> department at a variety of park sites; and <br /> WHEREAS,the City has identified the need for on-call geotechnical services in a <br /> cumulative amount that exceeds the not to exceed amount in the Agreement;and <br /> WHEREAS,the City and Consultant have mutually agreed to a new total not to exceed <br /> amount; and .. <br /> WHEREAS,the City and Consultant have mutually agreed that there shall be no changes <br /> in the completion date. <br /> NOW, THEREFORE,the City and Consultant mutually agree as follows: <br /> 1. Section 4D of the Agreement which reads "Total compensation,including <br /> all services and expenses, shall not exceed a maximum of TWENTY THOUSAND <br /> Dollars($20,000.00)"is amended to read as follows: "Total compensation, including all <br /> services and expenses, shall not exceed a maximum of FORTY FIVE THOUSAND <br /> DOLLARS ($45,000.00)." <br /> 2. All other terms and conditions of the Agreement shall remain in full force <br /> and effect. <br /> 170 <br />
