C. Other Government Agency Responsibilities <br /> The Other Government Agency assumes the risks of personal injury,death and of all <br /> other loss or damage arising out of the equipment and the installation, testing, <br /> maintenance and repair and use thereof,and will make no claim against the Seattle Police <br /> Department or the Coast Guard on account thereof, and shall defend, indemnify and hold <br /> harmless the Seattle Police Department and the Coast Guard against all third party claims <br /> arising out of or in connection therewith.This provision shall survive termination or <br /> expiration of this.Agreement. <br /> By signing on to this Agreement each Other Government Agency represents and warrants <br /> as follows: <br /> l. The Other Government Agency has full right,power,authority and capacity <br /> and all consents and approvals necessary to execute and perform this Agreement. <br /> 2. Once the Other Government-Agency has duly executed this Agreement,it will <br /> constitute a cooperative,valid agreement of the Other Government Agency <br /> enforceable against it in accordance with its terms upon its execution. <br /> 3. The Other Government Agency will not assign or transfer this Agreement or any <br /> part thereof,or any equipment or rights therein,to any transferee without the prior <br /> written approval of the Coast Guard and the Seattle Police Department. <br /> 4. The Other Government Agency will not give title or possession of anything of <br /> substantial value(including property,currency,travel and/or education programs) <br /> to any officer or employee of the Seattle Police Department or the Coast Guard <br /> during the term of this Agreement or otherwise take any action to violate Seattle <br /> Police Department or Coast Guard ethical policies. <br /> S. Upon receipt of title to the AIS equipment,the Other Government Agency will <br /> assume full responsibility for the operation of the equipment,and upon expiration <br /> of the vendor's warranty period,for its continued maintenance and repair for its <br /> useful life. <br /> 6. The Other Government Agency will provide access to Port Authority and Coast <br /> Guard personnel to facilitate installation of the MS equipment. <br /> 7. The Other Government Agency agrees that the AIS equipment will be operated in <br /> accordance with existing laws,regulations,and any interagency agreements <br /> established to protect and enforce security zones,expedite inspection of high- • <br /> interest vessels,and assist law enforcement and emergency response. <br /> 7.
