7 <br /> c. The Seattle Police Department will obtain from the vendor low-level <br /> software support for the Blue Force Tracking Encrypted AIS equipment, <br /> including but not limited to tr'ained.IT professional diagnosis of hardware <br /> and software problems. <br /> 2. Transfer of Rights to AIS Equipment.The Seattle Police Department agrees to <br /> transfer title to the AIS equipment to each Other Government Agency that signs <br /> on to this Agreement,and each such Other Government Agency agrees to accept <br /> • title to the AIS equipment,upon completion of installation.Each Other <br /> Government Agency shall receive the AIS equipment without cost to.the <br /> receiving agency. Each Other Government Agency will assume full <br /> • responsibility for the operation of the equipment,and upon expiration of the <br /> vendor's warranty period, for its continued maintenance and repair for its useful <br /> life. <br /> 3. The Seattle Police Department hereby represents and warrants as follows: <br /> a. The Seattle Police Department initially will have the exclusive ownership <br /> of the AIS equipment free and clear of any rights of third persons,and will <br /> transfer such unencumbered title to the Other Government Agency in <br /> accordance with this Agreement. <br /> b. The Seattle Police Department represents that it has full right,power, <br /> authority and capacity and all consents and approvals to execute and <br /> perform this Agreement. <br /> c. The Seattle Police Department will provide the fiscal and program <br /> progress reports to DHS as required by the Payment and Reporting <br /> Schedule under the 2010 Port Security Grant Cooperative Agreement. <br /> d. Upon completion of installation,testing, and correction of any deficiencies <br /> in the installation of the AIS equipment,the installation shall be deemed <br /> complete and upon completion,ownership to the AIS equipment shall be <br /> transferred to the Other Government Agency. <br /> THE PARTIES AGREE.THAT THE EQUIPMENT, INSTALLATION <br /> T'EST'ING,MAINTENANCE,AND REPAIR SERVICES TO BE PROVIDED <br /> TO THE OTHER GOVERNMENT AGENCY ARE PROVIDED"AS IS"AND <br /> "AS DESCRIBED"IN THIS AGREEMENT.. THE SIATI'LE POLICE <br /> DEPARTMENT AND THE COAST GUARD MAKE NO WARRANTY WITH <br /> REGARD THERETO,AND DISCLAIM ALL OTHER WARRANTIFS <br /> EITHER EXPRESS OR IMPLIED,INCLUDING, WITHOUT LIMITATION, <br /> WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A <br /> PARTICULAR PURPOSE, EXCEPT AS MAY BE DESCRIBED IN THIS <br /> AGREEMENT. <br /> 38 <br />
