to <br />AMENDMENT NO.1 <br />PROFESSIONAL SERVICES AGREEMENT <br />BETWEEN THE CITY OF EVERETT <br />AND FITCH & ASSOCIATES, LLC <br />This Amendment No. 1 is dated for reference purposes 2015. <br />It is by and between the City of Everett, a municipal corporation under the laws of the <br />State of Washington ("City") and Fitch & Associates, LLC ("Service Provider"). <br />RECITALS <br />A. The City and Service Provider are parties to the Professional Services <br />Agreement dated August 8, 2014 (the "Agreement"). <br />B. The City and Service Provider agree that completion of the tasks in the <br />scope of work in Agreement, along with related tasks, may require Service Provider work <br />beyond what was originally anticipated. Accordingly, the City and the Service Provider <br />desire to amend the Agreement for the purpose of adding compensation and extending <br />the time for completion of unfinished tasks. <br />AGREEMENT <br />The City and Service Provider agree as follows: <br />1. The Agreement is amended so that the completion date of the Agreement is <br />March 31, 2016. <br />2. The Agreement is amended to add $50,000 to the compensation that may be <br />earned under the Agreement ("Additional Compensation"). Accordingly, <br />Section 4.1) is amended so that total compensation under the Agreement, <br />including all services and expenses, shall not exceed $116,400. The Service <br />Provider will earn the Additional Compensation provided in this Amendment on <br />an hourly basis plus expenses, with the Service Provider hourly rate not to exceed <br />$275 per hour and with expenses as set forth in the Agreement. The Service <br />Provider understands that the hourly service will be requested as needed and that <br />the City does not guarantee that it will request any particular service or number of <br />hours, which means that Additional Compensation earned under this Amendment <br />might not reach $50,000. All Service Provider work for Additional <br />Compensation must be pre -authorized in writing by the City. <br />3. All provisions in the Agreement shall remain in effect except as expressly <br />modified by this Ainendment. <br />62 <br />
