to AMENDMENT NO.1 PROFESSIONAL SERVICES AGREEMENT BETWEEN THE CITY OF EVERETT AND FITCH & ASSOCIATES, LLC This Amendment No. 1 is dated for reference purposes 2015. It is by and between the City of Everett, a municipal corporation under the laws of the State of Washington ("City") and Fitch & Associates, LLC ("Service Provider"). RECITALS A. The City and Service Provider are parties to the Professional Services Agreement dated August 8, 2014 (the "Agreement"). B. The City and Service Provider agree that completion of the tasks in the scope of work in Agreement, along with related tasks, may require Service Provider work beyond what was originally anticipated. Accordingly, the City and the Service Provider desire to amend the Agreement for the purpose of adding compensation and extending the time for completion of unfinished tasks. AGREEMENT The City and Service Provider agree as follows: 1. The Agreement is amended so that the completion date of the Agreement is March 31, 2016. 2. The Agreement is amended to add $50,000 to the compensation that may be earned under the Agreement ("Additional Compensation"). Accordingly, Section 4.1) is amended so that total compensation under the Agreement, including all services and expenses, shall not exceed $116,400. The Service Provider will earn the Additional Compensation provided in this Amendment on an hourly basis plus expenses, with the Service Provider hourly rate not to exceed $275 per hour and with expenses as set forth in the Agreement. The Service Provider understands that the hourly service will be requested as needed and that the City does not guarantee that it will request any particular service or number of hours, which means that Additional Compensation earned under this Amendment might not reach $50,000. All Service Provider work for Additional Compensation must be pre -authorized in writing by the City. 3. All provisions in the Agreement shall remain in effect except as expressly modified by this Ainendment. 62
