Excluding the Lot Profit Payments, which are separately secured, the Owner Obligations shall be <br /> secured by bonds, which bonds shall be in the form as attached on Exhibit I (each, a"Bond") <br /> and in accordance with any other requirements in Exhibit I. One of these Bonds is the "Transfer <br /> Lot 3 Bond" in the amount of$1.6 million, and the other is the "Installment Payment Bond" in <br /> the amount of$2.0 million, all as set forth in Exhibit I. Should Owner so elect, upon a Binding <br /> Site Plan Notice of Decision being signed and a Binding Site Plan being approved by the City to <br /> create Lot 21 and Lot 22 as legal lots (both as depicted on Exhibit A-1, and referred to as the <br /> "Lots") Owner may substitute the Bonds for the recording of the Obligation Deed of Trust in <br /> first lien position secured by the Lots, all in the manner as set forth in Section 1.12(a)(1). <br /> Following the Transfer Lot Group Closing Date, payment of the Equivalent Value and Owner's <br /> completion of the Owner Obligations under Part One of this Amendment, the obligations of <br /> Owner as to the Transfer Lots shall be fully satisfied. <br /> NOW THEREFORE, for and in consideration of the mutual promises as stated herein and <br /> for other good and valuable consideration, the receipt and sufficiency of which is hereby <br /> acknowledged, the City and Owner agree to amend, restate, and modify Part One of the <br /> Development Agreement as follows: <br /> PART ONE -RECREATION PROPERTY <br /> 1.1 Applicability. The provisions of this Part One define the rights and obligations <br /> between the City and Owner as to the Transfer Lots, defined below, and as to the Land Wedge. <br /> For the purposes of Part One, the existing"Owner Property" as of the date of this Amendment <br /> is legally described on Exhibit A. Owner, not FSA, will be solely responsible for the Owner <br /> Obligations contained in this amended Part One. <br /> 1.2 Conveyance Terms. <br /> 4 <br />
